Definition

A Confidential Disclosure Agreement (CDA) defines the legal terms and conditions of limited external access to confidential information like unpublished patent applications or research data:

• information disclosed,
• purpose of disclosing the information (e.g. license evaluation of an invention),
• personnel restrictions, and
  
• term duration.

Boston College Office for Technology Transfer and Licensing (OTTL) manages CDAs on behalf of the university.

• Individuals interested in protecting their confidential information or who receive a CDA from a third party should contact OTTL.
• OTTL negotiates CDAs on behalf of the university.
