Confidential Disclosure Agreement
Definition
A Confidential Disclosure Agreement (CDA) defines the legal terms and conditions of limited external access to confidential information like unpublished patent applications or research data:
- information disclosed,
- purpose of disclosing the information (e.g. license evaluation of an invention),
- personnel restrictions, and
- term duration.
University Support
Boston College Office for Technology Transfer and Licensing (OTTL) manages CDAs on behalf of the university.
- Individuals interested in protecting their confidential information or who receive a CDA from a third party should contact OTTL.
- OTTL negotiates CDAs on behalf of the university.
