ILS
By-Laws
ARTICLE
I: Name
The
organization formed under this constitution shall be called The
International Law Society (hereinafter "ILS").
ARTICLE
II: Purposes
The
purposes of ILS are:
- To
foster an interest in, and awareness of, matters of international
law, foreign languages and foreign cultures.
- To
inform and assist the students of the Law School in international
law career and educational opportunities.
ARTICLE
III: Membership
Membership
in ILS shall be open to all students of the Law School who are interested
in international law, foreign languages or foreign cultures.
ARTICLE
IV: Executive Board
- The
Executive Board will include the positions of President, Vice-President,
and Treasurer. The President shall have the power to create such
committees or non-officer positions, as he or she deems necessary
to carry out the business of the ILS, subject to the majority
vote of the other officers. The Executive Board shall collectively
be responsible for, and have the power to administer, any and
all programs, events, business, and projects pertaining to or
concerning the ILS. The terms of officers shall be for one academic
year.
- Decisions
of the Executive Board shall be made by majority vote at a meeting
of the Board, which may be called by any officer, at which meeting
there is a quorum of at least two officers. In instances of deadlock
the issue shall be submitted for decision for the membership of
the ILS.
ARTICLE
V: Officer Vacacies

In any event an officer is not fulfilling the obligations of office,
the rest of the Board may, by unanimous vote, issue an official
warning and place that officer on one month probation. At the
end of that month, the Board will hold a meeting to consider removing
the person from office. Removal from office is to be by unanimous
vote of the rest of the Board.

In the event an officer feels it necessary to voluntarily vacate
a position, that person shall notify the Board as soon as it is
possible to do so. Vacated positions shall be filled according
to procedures outlined in Article VIII, Elections.
ARTICLE
VI: Officers' Duties/Responsibilities
- The
President of the ILS shall have general supervisory power over
the activities of the ILS. He or she shall chair meetings of the
Executive Board.
- The
Vice-President of the ILS shall be responsible for the communication
of information within the ILS. He or she shall preside at membership
meetings and meetings of the Executive Board. In the event the
President is unable to perform his or her duties or resigns, the
Vice-President automatically becomes President; elections will
then be held for the Vice-President.
- The
Treasurer of the ILS shall have custody of the funds of the ILS
and shall see to it that they are deposited in such bank, as the
President shall designate. He or she shall have accurate and full
entries in financial records of all monies received and disbursed
by the ILS. He or she shall make financial reports to the Executive
Board on a regular basis or upon the request of any officer. He
or she shall make a financial report to the membership once a
semester. The signatures of either the President or the Treasurer
shall be necessary to validate all checks issued by the ILS.
- The
Executive Board of the ILS, collectively, shall be responsible
for maintaining the records and correspondence of the ILS. They
shall maintain and distribute the minutes and agendas for all
meetings of the officers and of the membership. They shall manage
all property of the ILS, which is not managed by the Treasurer.
They shall also be responsible to chair the newsletter committee
whose function is to publish and distribute an ILS newsletter
on a regular basis. They shall also be responsible for ILS activity
in the areas of career and educational opportunities in international
law and the funding and involvement of foundations in law schools.
They shall maintain records of contacts and information in these
areas and make them available to members of the ILS.
ARTICLE
VII: Funding and Disbursements
The outgoing Board, with the participation of the new Board elected
for the next academic year, with the ILS membership will identify
a tentative proposal to be further developed by elected members
during the summer. At the beginning of the academic year the newly
elected Board, with the participation of the members, will discuss,
change, and ratify a final budget, proposal for submission to Boston
College Law School. The Board may, by majority vote, spend amounts
of up to $150.00 at its discretion. Amounts greater than $150.00
must be voted on by the membership.
ARTICLE
VIII: Elections
The officers shall be elected by simple majority at a meeting of
the membership held during the spring term of the preceding academic
year. In case any officer shall become unable to serve out his or
her term, a special election shall be held as soon as possible for
the purpose of choosing a person to serve in the vacant position(s).
Elections shall be presided over those current officers who are
not seeking reelection for the next academic year.
ARTICLE
IX: Amendments
This Constitution shall be adopted by a majority vote of the officers.
Subsequent amendments may be called for by any officer or member
and shall be passed by majority vote of either the officers or the
membership, at the discretion of the President.
